SEC Targets Companies in Alleged $15 Million Social Media Investment Fraud Schemes

The Securities and Exchange Commission (SEC) has charged entities behind two alleged investment fraud schemes that raised more than $15 million from investors through WhatsApp, Facebook and other online platforms.

According to Wealth Management, the SEC filed separate complaints against Cryptoaiml and TSAI in federal court in New York. The agency alleges that the entities falsely portrayed themselves as legitimate, SEC-regulated investment businesses, while misappropriating at least $12.5 million and $2.8 million, respectively.

According to the SEC's Cryptoaiml complaint, the company filed a Form D containing false information and began soliciting investors through WhatsApp group chats in August 2024. The defendants allegedly presented themselves as experienced investment professionals and, in some cases, impersonated actual financial professionals who had no knowledge that anyone was using their identities.

The alleged impersonations included the president of Citadel Securities. According to Wealth Management, the defendants also falsely identified an investment holding company of Raymond James as their investment manager.

Cryptoaiml allegedly encouraged investors to open accounts on what it represented as a crypto asset trading platform. The defendants then provided purported artificial intelligence-generated trading signals that they claimed would increase investors' profits.

The SEC alleges that the trading platform itself was fictitious. Although investors could log into accounts displaying purported gains, no actual trading occurred. The defendants instead allegedly used the platform to obtain investor funds and demanded additional advance fees when investors attempted to withdraw their money.

According to Wealth Management, Cryptoaiml also represented that regulators, including the SEC, oversaw its platform and that investors could use it safely.

The SEC alleges that TSAI employed a separate but similar strategy between September 2024 and March 2025. Through its website, WhatsApp and public Facebook chats, TSAI allegedly promised investors guaranteed profits from an artificial intelligence trading program.

TSAI told investors that it would use their money to rent AI-powered trading bots that would trade on their behalf. The company also offered investors income for recruiting others into the AI Trading Bot Program, which it offered and sold as an investment contract. Like Cryptoaiml, TSAI allegedly claimed that the SEC fully regulated its business.

The SEC alleges that TSAI had no AI trading bots and never used investor deposits to generate investment returns. Instead, the defendants allegedly displayed fictitious profits and income in investor accounts.

According to Wealth Management, the SEC removed falsified Forms D associated with Cryptoaiml and TSAI from its website. In both cases, the agency seeks injunctions barring the defendants from continuing the alleged conduct, along with disgorgement and civil penalties.

Jim, Stephany and the whole team were a God send.  We felt like we were put into a situation where we had no advocate. Jim’s team came in with a strong, well laid out strategy on how to get our story heard. Where our outside compliance company had no ability to help, our Broker Dealer was impenitent, and the regulators were aggressive pursuing vague rules, Jim came like a barricade against an assault we did not understand. Though you pay member dues to be affiliated with FINRA and a B/D, you have no voice. The only thing that is truly heard in this un-level playing field is a bulldog’s bark like Jim’s. I would encourage anyone to call Jim and his team to find a real ally in the tough and complicated world of securities regulation. They are truly the best.
